1. Agreement to Terms

By accessing or using Reseller Suite ("Service"), you agree to be bound by these Terms & Conditions ("Terms"). If you do not agree to these Terms, you may not access or use the Service. These Terms apply to all users, including free trial users and paid subscribers.

2. Eligibility and Accounts

You must be at least 18 years old to use this Service. By creating an account, you represent that:

  • You are legally capable of entering into binding contracts
  • All information you provide is accurate and complete
  • You will maintain the security of your account credentials
  • You are responsible for all activity under your account

You may not share your account, transfer your account to another person, or use another person's account without permission.

3. Subscriptions, Billing, and Payments

Reseller Suite offers subscription-based access to the Service:

  • Free Trials: We may offer free trial periods. At the end of the trial, you will be charged for the selected plan unless you cancel before the trial ends.
  • Billing: Subscriptions are billed in advance on a recurring basis (monthly or annually) until canceled. Payment is processed through Stripe.
  • Automatic Renewal: Your subscription will automatically renew at the end of each billing period unless you cancel.
  • Price Changes: We reserve the right to change subscription prices with advance notice. Changes will take effect at your next renewal.
  • Cancellation: You may cancel your subscription at any time through your account settings. Cancellation takes effect at the end of the current billing period.
  • Refunds: We do not offer refunds for partial subscription periods. If you cancel, you retain access until the end of your paid period.

4. User Content and License

You retain ownership of all content you upload, create, or manage through the Service ("User Content"). By using the Service, you grant us a limited, worldwide, non-exclusive license to:

  • Store, process, and display your User Content to provide the Service
  • Transmit your User Content to third-party services (e.g., eBay) as directed by you
  • Use anonymized and aggregated data for analytics and service improvement

You are solely responsible for your User Content and represent that you have all necessary rights to upload and use it.

5. Acceptable Use and Prohibited Activities

You agree not to:

  • Violate any laws, regulations, or third-party rights
  • Use the Service for fraudulent or illegal purposes
  • Upload malicious code, viruses, or harmful content
  • Attempt to gain unauthorized access to the Service or other users' accounts
  • Interfere with or disrupt the Service's operation
  • Scrape, crawl, or reverse-engineer the Service
  • Use the Service to spam, harass, or infringe on others' intellectual property
  • Resell or redistribute the Service without authorization

6. Third-Party Services

Reseller Suite integrates with third-party services, including:

  • eBay: When you connect your eBay account, you authorize us to access and manage your eBay listings on your behalf. Your use of eBay is subject to eBay's terms and policies.
  • Payment Processors: Payments are processed by Stripe, subject to Stripe's terms.

We are not responsible for the actions, content, or policies of third-party services. Reseller Suite is not affiliated with, endorsed by, or sponsored by eBay Inc.

7. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. WE DO NOT GUARANTEE:

  • That the Service will be uninterrupted, error-free, or secure
  • That your listings will result in sales or specific outcomes
  • The accuracy, reliability, or completeness of pricing suggestions or marketplace data
  • That defects will be corrected or that the Service is free of viruses

You acknowledge that online reselling involves risks, and we make no guarantees regarding sales performance, profitability, or marketplace success.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, RESELLER SUITE AND ITS AFFILIATES SHALL NOT BE LIABLE FOR:

  • Indirect, incidental, special, consequential, or punitive damages
  • Loss of profits, revenue, data, or business opportunities
  • Damages resulting from unauthorized access, data breaches, or system failures
  • Any actions or inactions of third-party services (e.g., eBay, payment processors)

Our total liability to you for any claim arising from these Terms or the Service shall not exceed the amount you paid us in the 12 months preceding the claim.

9. Indemnification

You agree to indemnify, defend, and hold harmless Reseller Suite, its affiliates, and their respective officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses (including legal fees) arising from: (a) your use of the Service, (b) your User Content, (c) your violation of these Terms, or (d) your violation of any third-party rights.

10. Termination

We may suspend or terminate your access to the Service at any time, with or without cause or notice, including for:

  • Violation of these Terms
  • Fraudulent or illegal activity
  • Non-payment of subscription fees
  • Extended periods of inactivity

Upon termination, your right to use the Service ceases immediately. You may lose access to your User Content, so we recommend exporting important data regularly.

11. Governing Law and Disputes

These Terms are governed by the laws of [State/Country], without regard to conflict of law principles. Any disputes arising from these Terms or the Service shall be resolved through [arbitration/mediation/court system as applicable].   • Assignment: You may not assign or transfer these Terms. We may assign our rights and obligations without restriction.
